Terms of Service

These Terms are the agreement between you and Grovi ("Grovi", "we", "us") for your use of the Grovi app and website (together, "the Service"). We keep them plain on purpose. If anything here is unclear, email us at henry@usegrovi.co.

1. Acceptance of terms

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who can use Grovi

You must be at least 18 years old, or the age of majority where you live, to create an account and to buy a subscription. Grovi is meant for the adult managing a household's meals and is not directed to children under 13. By using the Service you confirm you can form a binding contract with us.

3. Your account

You are responsible for keeping your login secure and for the activity that happens under your account. Give us accurate information and keep it current. If you sign in with Google or Apple, you are responsible for that connected account too. Tell us promptly at henry@usegrovi.co if you think someone has used your account without permission. You can delete your account at any time from Settings.

4. What Grovi does

Grovi helps you plan meals and build a budget-aware shopping list using prices from a grocery store you select. It generates weekly meal plans, estimates nutrition and cost, lets you note allergens and ingredients to avoid, and can turn a recipe you import into a shoppable card. The Service is a planning and information tool. Prices, availability, totals, nutrition, and allergen information are estimates, and are covered in section 9. We may add, change, or remove features as Grovi grows.

5. Subscriptions and billing

Grovi has a free tier and a paid plan called Grovi Unlimited. Grovi Unlimited unlocks the paid features described at the point of purchase, such as comparing stores and adding extra meals.

• Price. The current price and billing period for your region and purchase method are always shown at the point of purchase, before you pay. Monthly and annual options are available.
• How you are billed. If you subscribe in our iOS app using an in-app purchase, billing is handled by Apple through your App Store account, under Apple's payment terms. If you subscribe on our website, payments are handled by our payments provider, Stripe, on a secure Stripe-hosted checkout page. In either case we never receive or store your full card details.
• Auto-renewal. Subscriptions renew automatically at the end of each billing period (each month, or each year for the annual plan) at the then-current price, until you cancel. By subscribing you authorize these recurring charges.
• Cancelling. You can cancel at any time. App Store subscriptions are cancelled in your device's subscription settings, at least 24 hours before the period ends. Website subscriptions are cancelled from Settings in Grovi, which opens the billing portal. Cancelling stops the next renewal. You keep Grovi Unlimited until the end of the billing period you have already paid for, and it does not renew after that.
• Refunds. Refunds for purchases made through the App Store are handled by Apple under Apple's terms; you can request one from Apple at reportaproblem.apple.com. For website purchases, except where the law requires otherwise, payments are non-refundable and there are no refunds or credits for partial billing periods. Some consumers, including in the United Kingdom and European Union, may have additional statutory cancellation and refund rights, and nothing here removes those.
• Price changes. We may change subscription prices. If we do, we will give you notice, and the new price applies to billing periods after the change. If you do not want the new price, you can cancel before it takes effect.
• Complimentary access. Some early or founding members may hold Grovi Unlimited at no charge. There is nothing to bill or manage for that access, and we may end it on reasonable notice.

6. Acceptable use

Please use Grovi responsibly. You agree not to:

• break the law, or use the Service to plan, promote, or carry out anything unlawful;
• disrupt, overload, probe, or try to gain unauthorized access to the Service, our systems, or other users' accounts;
• scrape, copy, resell, or systematically extract our content, prices, or data, or use automated means to access the Service beyond normal personal use;
• reverse engineer or attempt to derive our source code, except to the extent the law does not allow that restriction;
• upload or import content you do not have the right to use, or content that is unlawful, infringing, or harmful; or
• misrepresent who you are or interfere with anyone else's use of the Service.

We may suspend or close accounts that misuse the Service.

7. Your content

Some features let you provide content, including recipes you import from a link or a social video, shopping lists you create, and lists you choose to share.

• You keep ownership. You keep any rights you already have in the content you provide. We do not claim ownership of it.
• The permission you give us. So we can run the features you ask for, you grant us a worldwide, non-exclusive, royalty-free license to store, process, adapt, and display your content, and to use our AI providers to do so, only as needed to operate and improve the Service. When you import a recipe, we process the source to produce a neutral, Grovi-authored card, and we credit the original where we can.
• Your responsibility. You are responsible for the content you import or share, and you confirm you have the right to provide it to us. Do not import or share content you are not allowed to use.
• Shared lists. If you create a shared shopping list, anyone with the link can view it and check items off. Only share the link with people you trust, and do not put sensitive information in a list you share.

8. Our intellectual property

The Service, including the Grovi name, logo, design, software, generated recipe cards, images, and other content we provide, belongs to Grovi or our licensors and is protected by intellectual property laws. We give you a personal, non-transferable, revocable license to use the Service for your own household meal planning. You may not copy, sell, or redistribute our content except as these Terms allow or the law permits.

9. Estimates, nutrition, and allergens

This section matters, so please read it.

Prices are estimates. Grocery prices, availability, and shopping-list totals in Grovi are estimates drawn from third-party grocery data. They can be out of date and may differ from the actual price or availability in store, at pickup, or at checkout. We do not guarantee that any price, total, or item availability is accurate or current. The price you pay is set by the store, not by us.

Nutrition and macros are estimates. Nutrition facts, calories, and macros in Grovi are estimated from ingredient data and may not match the actual foods you buy or prepare. They are for general information only and are not medical, nutritional, or dietary advice. Meal plans are suggestions, not professional dietary advice. If you have specific health or dietary needs, talk to a qualified professional.

10. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent the law allows. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any estimate, plan, or result will meet your needs. Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.

11. Limitation of liability

To the fullest extent the law allows, Grovi and the people who work on it will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. To the fullest extent the law allows, our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim, or 50 US dollars. Nothing in these Terms limits liability that cannot be limited by law, and if you are a consumer, this section does not affect your mandatory statutory rights.

12. Indemnification

To the extent permitted by law, you agree to defend and hold Grovi harmless from claims, losses, and reasonable costs that arise from your misuse of the Service, your breach of these Terms, or content you import or share in violation of these Terms or someone else's rights.

13. Termination

You can stop using the Service at any time and delete your account from Settings. We may suspend or end your access if you breach these Terms, misuse the Service, or if we need to for legal or security reasons. If your access ends, sections that by their nature should survive, such as your content permissions already relied on, intellectual property, disclaimers, limitation of liability, and indemnification, continue to apply. Deleting your account does not by itself cancel a paid subscription, so cancel from Settings first if you have one.

14. Changes to these Terms

We may update these Terms as Grovi grows. When we make a material change, we will update the date above and, where appropriate, tell you in the app or by email. If you keep using the Service after a change takes effect, that means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida and the applicable federal laws of the United States, without regard to conflict-of-laws rules. If a dispute comes up, please email us first at henry@usegrovi.co so we can try to sort it out. If you are a consumer resident in the United Kingdom or the European Union, nothing in these Terms removes the mandatory rights you have under the laws of your country of residence, and you may bring proceedings in your local courts.

16. Apple and the App Store

If you download Grovi from the Apple App Store, the following also applies, and these Terms are in addition to Apple's own terms.

• These Terms are between you and Grovi only, not with Apple. Apple is not responsible for the app or its content.
• Apple's standard licensed application end user license agreement and the App Store terms apply to your use of the app. If these Terms conflict with those terms as they apply to the app on your Apple device, those terms govern to the extent of the conflict.
• Apple has no obligation to provide maintenance or support for the app.
• Apple is not responsible for any claims about the app, including product liability, any failure to meet a legal or regulatory requirement, and consumer protection or similar claims, and is not responsible for investigating or resolving third-party claims that the app infringes intellectual property rights.
• You confirm you are not located in a country subject to a US government embargo and are not on any US government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as a user of the app.
